What an Engagement May Include
Understanding the Business
Before recommending a capital strategy, we need to understand the company.
That means looking at the business model, management team, financial position, capitalization, market opportunity, competitive position, capital requirement and management's longer-term objectives.
Developing the Capital Strategy
The immediate question may be how to raise capital. The more important question is often how the company should be financed.
We help management evaluate the alternatives—including private capital, acquisition financing, recapitalization and, where appropriate, access to the U.S. public markets.
Preparing the Company for Investors
Good businesses do not always present themselves well to the investment community.
We can work with management to sharpen the investment thesis, review financial projections and capitalization, identify weaknesses in existing materials and help develop a clear, credible presentation of the opportunity.
Public-Market Strategy
For some companies, becoming publicly traded in the United States can provide a long-term capital-markets platform capable of supporting future financings, acquisitions and strategic growth.
Where appropriate, we help management evaluate reverse mergers and other public-market alternatives and coordinate with experienced securities attorneys, auditors, investment bankers, broker-dealers and other professional advisers.

We are not a broker-dealer and do not charge commissions or transaction-based compensation based upon the amount of capital raised.
Instead, clients retain us for the experience, strategic guidance and work we provide.
That distinction is important.
It allows our advice to begin with what we believe is right for the company—not with a particular financing transaction or the size of a potential commission.
Our founder, Jeremy P. Feakins, has spent more than 35 years building, financing and leading companies in the United States. His experience includes founding companies, raising private capital, taking companies public through reverse mergers, serving as Chairman and CEO of publicly traded companies and working extensively with investors and capital-markets professionals.
We bring that practical, entrepreneurial perspective to every engagement.

A brief introduction to the company and what you are trying to accomplish is enough to begin.
If available, it is helpful to provide a current investor presentation, executive summary, business plan, offering memorandum or other materials that explain the business.
We are also happy to enter into an appropriate confidentiality agreement before reviewing sensitive information.
